Auditor's report, year to 2024-06-30: material uncertainty related to going concern
Material Uncertainty Relating to Going Concern: I draw attention to Note 2(a) to the financial statements which discloses that the Company recorded a negative working capital of Kshs.27,439,000,000 (2023 - Kshs.51,234,000,000). The Company has remained in a negative working capital position for the eighth consecutive year. Over the years, the Board of Directors and Management indicated that strategic initiatives were being undertaken to improve the financial results of the Company. However, these initiatives were yet to yield the intended results as at 30 June, 2024. This indicates existence of material uncertainty that may cast significant doubt on the Company's ability to continue as a going concern. My Opinion is not modified in respect of this matter.

Auditor's emphasis of matter
Emphasis of matter, year ended 30 June 2025 (Auditor-General, PDF p123, scanned), three matters: (1) land without ownership documents — fifteen parcels valued at Kshs.28,574,258 without title deeds, eighteen parcels charged to a private company between 1970 and 1984, and five substation parcels under lien in favour of a law firm (note 17); (2) cost of power purchased from independent power producers — significantly higher per unit than from KenGen, pending approval of renegotiated power purchase agreements (note 8); (3) variances between electricity receivables and county governments' data — Kshs.2,363,985,447 for ten county governments (note 22(b)). 'My Opinion is not modified in respect of these matters.' These are emphasis-of-matter paragraphs; the FY2025 report has no material-uncertainty section.
